Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Truelabel website, applications, and related services (collectively, the “Service”), operated by Openlife AI Inc (“Company,” “we,” “our,” or “us”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Truelabel helps you photograph packaged food products and receive AI-generated information about ingredients, processing, and related factors. The Service is provided for informational and educational purposes only. Truelabel does not provide medical, nutritional, or legal advice. You are responsible for reading actual product labels and consulting qualified professionals for health or dietary decisions.

3. Eligibility

You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements (typically 18+, or older if required where you live). You may not use the Service if you are prohibited from doing so under applicable law.

4. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access.

5. Acceptable use

You agree not to:

  • Use the Service in violation of law or third-party rights;
  • Attempt to probe, scan, or test the vulnerability of the Service, or breach security;
  • Upload malware, spam, or content that is unlawful, harassing, or infringing;
  • Reverse engineer or attempt to extract source code or models except where permitted by law;
  • Use automated means to access the Service in a way that imposes an unreasonable load;
  • Misrepresent your identity or affiliation.

6. Subscriptions and payments

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Payments are processed by our third-party payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law.

7. AI-generated content

Outputs may be generated using artificial intelligence. Such content may be incomplete, inaccurate, or outdated. You should not rely solely on Truelabel for decisions about food safety, allergies, medical conditions, or compliance with regulations. Always verify information against the manufacturer's label and official sources.

8. Intellectual property

The Service, including software, branding, and documentation, is owned by Openlife AI Inc or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. You may not copy, modify, or create derivative works except as allowed by law.

9. User content

You retain ownership of photos and content you submit. You grant us a worldwide, non-exclusive license to use, store, process, and display that content solely to operate and improve the Service. You represent that you have the rights needed to grant this license.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENLIFE AI INC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnity

You will defend and indemnify Openlife AI Inc and its affiliates against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including conduct that we believe violates these Terms or is harmful to the Service, other users, or third parties. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including Sections 10, 11, 12, 14, and this Section 13) will survive termination.

14. Service continuity; discontinuation

We reserve the right to modify, suspend, or permanently discontinue the Service (or any part of it) at any time, with or without notice, for any reason, including but not limited to business, operational, or technical considerations. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

In the event of a change of control, merger, acquisition, reorganization, sale of assets, or similar transaction involving Openlife AI Inc, these Terms and any associated rights and obligations may be assigned or transferred to the successor entity without your consent. The successor entity will be bound by these Terms with respect to your continued use of the Service. We may also, at our sole discretion, elect to discontinue the Service in connection with such a transaction, in which case we will make reasonable efforts to provide advance notice to active subscribers.

In the event of dissolution, liquidation, or winding down of Openlife AI Inc, the Service may be terminated without prior notice. To the extent practicable, we will attempt to notify users and provide a reasonable opportunity to export their data before the Service ceases operation. No refunds will be owed for any unused portion of a subscription following such termination, except as required by applicable law.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where prohibited by your local mandatory consumer protections. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

16. Changes

We may modify these Terms by posting an updated version on this page. If changes are material, we may provide additional notice. Your continued use after the effective date constitutes acceptance. If you do not agree, discontinue use of the Service.
